Situation Overview:
- Atwood Spec-Temp Glass (“Spec-Temp”) is a leading fabricator of a wide range of glass products that serve a variety of key end markets. The Company specializes in cutting, drilling, seaming, silk-screening and tempering glass for low-volume, high-precision configurations of flat, bent and insulated glass applications
- Spec-Temp was formerly a division of Atwood Mobile Products (a portfolio company of Insight Equity) that was seeking to divest the glass product business
- FINNEA Group was retained by Atwood Mobile Products and Insight Equity to evaluate strategic alternatives for the business and to advise in the sale of Spec-Temp
Role and Responsibilities:
- Conducted detailed analysis of the business including extensive financial and transaction modeling
- Prepared a thorough Confidential Information Memorandum and an effective Management Presentation used to market the business
- Approached a select group of potential buyers most suited to purchase Spec-Temp, and effectively identified potential synergies for strategic buyers while preparing detailed individual synergy analyses
- Successfully negotiated a pre-emptive bid from one of Spec-Temp’s major competitors, Tem-Pace and Cypress Companies
- Effectively managed a thorough due diligence process between Spec-Temp and the buyer and worked closely with both sides during transition planning
Results:
- The Company was successfully sold to Tem-Pace, Inc., a subsidiary of the Cypress Companies and manufacturer of custom tempered glass for a variety of markets, in a value-maximizing deal for Atwood/Insight
